Terms of Service

These terms set out the deal between you and us when we build, host and look after a website for your business under LaunchKit. We've kept them in plain English. If anything here isn't clear, email hello@launchkit.co.nz before you sign up and we'll talk it through.

1.Who we are
LaunchKit is a trading name of S4Media Ltd (NZBN [NZBN], GST number [GST number]), a company registered in New Zealand and based in Auckland (“we”, “us”, “our”). “You” means the person or business that engages us. Our registered office and postal address for notices is 47 Regent Street, Devonport, Auckland 0624. You can reach us any time at hello@launchkit.co.nz.
2.These terms
These terms apply when you place an order, subscribe, or otherwise accept them (for example by paying an invoice or asking us to make your site live). Together with any written order, quote or plan description we give you, they form the agreement between us. If there's a conflict, the specific written order wins over these general terms. We may update these terms from time to time; if a change materially affects you we'll give you reasonable notice by email, and the version published at launchkit.co.nz/terms is the current one.
3.The service
LaunchKit is a done-for-you website service for small businesses. It has two parts:
- Launch — a one-off setup fee to design and build your website and put it live on our hosting, with your business name set in type at no extra charge.
- Care — an ongoing monthly subscription that keeps your site hosted, secured, backed up and looked after, and includes a monthly change allowance (see section 6).
Optional extras (such as a Brand Kit, or work beyond your change allowance) are quoted and charged separately and are only part of this agreement once you accept the quote in writing. Your Care subscription must be current for your site to remain live.
4.Your free preview
We may design a homepage concept for you on spec, free and with no obligation, so you can see our work before paying anything. Until you pay the Launch fee, the concept remains our property — we're showing it to you, not giving it to you. If you don't proceed, you're free to walk away and you owe us nothing; equally, you may not use, copy or pass on the preview design.
5.Fees, GST & payment
- All prices are in New Zealand dollars and exclude GST unless stated. GST is added at the current rate.
- The Launch fee is payable before your site goes live.
- The Care subscription is billed monthly in advance by automatic card payment, starting when your site goes live. If you choose annual pre-payment, you get the discount shown at sign-up.
- If a payment fails, we'll let you know and try again. If it remains unpaid, we may suspend your site (section 11) until it's brought up to date.
- We may review our prices from time to time and will give you at least 30 days' notice by email before any change to your subscription price. If you don't want to continue at the new price, you can cancel (section 10).
6.The change allowance
Your Care subscription includes up to four small changes per calendar month — for example swapping text, updating hours or prices, changing a photo, or adding a page section. To keep this sustainable we action changes in batches, so please send them together where you can. The detail:
- Each change should take us under 30 minutes. Unused changes don't carry over to the next month.
- We'll usually make reversible changes without a formal approval step. For anything involving your pricing, legal text, forms, or domain/email settings, we'll confirm with you first.
- Bigger work — new features, extra pages beyond a simple section, redesigns, or anything over the 30-minute mark — is quoted separately and isn't part of the allowance.
7.Your responsibilities
- Give us accurate business information and let us know promptly when it changes (especially anything customers rely on, like prices, hours or contact details).
- Make sure you have the right to use any logos, images, text or other material you give us, and that it doesn't infringe anyone else's rights. You keep responsibility for the content you supply.
- Use the site and our service lawfully. You must not use them for anything misleading, unlawful, or harmful, or to send unsolicited commercial messages in breach of the Unsolicited Electronic Messages Act 2007.
8.Content & ownership
Your content is yours. The text, images and business information you supply, and your trading name, remain yours. You grant us the licence we need to use them to build and run your site.
Your website. While your Care subscription is current, you have a licence to use the website we build for you. The underlying templates, code, systems and design components we use across LaunchKit sites remain our property and are not transferred to you.
Your business name in type. The free wordmark included with Launch is your business name set properly in a licensed typeface — it's a typeset treatment of your name, not a custom logo, and we don't warrant that it is registrable as a trade mark.
Brand Kit. If you buy a Brand Kit, ownership of the final agreed artwork passes to you once it's paid for in full. Under section 5(2)(a) of the Copyright Act 1994, where any work is computer-generated the author is the person who made the arrangements necessary for its creation.
9.Hosting & availability
We host your site on reputable third-party infrastructure (currently Cloudflare) with automatic SSL. We'll use reasonable care and skill to keep your site available and secure, but we can't guarantee uninterrupted or error-free service — no web host can. Downtime, maintenance or issues caused by third-party providers, your own content, or events outside our reasonable control are not something we're liable for.
10.Cancelling & keeping your site
No lock-in. You can cancel your Care subscription at any time by emailing us. Your subscription then runs until the end of the current paid month, and we don't provide partial refunds for the remainder of a paid month.
What happens to the site. When your subscription ends, your site is taken offline and the associated hosting, forms and email services stop. We may then delete the site and its data (see our Privacy Policy for retention periods).
Keeping a copy — the important bit. Before you cancel, you can buy a site export ($199 + GST): a static snapshot of your site's pages that you can host elsewhere.
An exported site is static only. Features that depend on our hosting — in particular the contact form, spam protection, and any email or server-side function — will stop working once the site is off our hosting. You (or your new provider) would need to rebuild those separately. We'll tell you this again at the time, but please factor it in.
11.Suspension by us
We may suspend or, after reasonable notice, end the service if: fees remain unpaid; you materially breach these terms and don't fix it within a reasonable time of us asking; or the site is being used for unlawful, misleading or harmful content. Where it's safe and lawful to do so, we'll give you notice and a chance to put things right first.
12.Your consumer law rights
Where you acquire our services for the purposes of a business, you agree that the guarantees in the Consumer Guarantees Act 1993 do not apply, to the extent section 43 of that Act allows and where it is fair and reasonable to exclude them. If you are not in trade and acquire our services as a consumer, the Consumer Guarantees Act applies and nothing in these terms limits your rights under it. Nothing in these terms limits your rights under the Fair Trading Act 1986 or any other right that cannot lawfully be excluded.
13.Our liability
To the extent the law allows, and subject to section 12:
- We are not liable for indirect or consequential loss, or for lost profits, revenue, data or goodwill.
- Our total liability to you for any claim connected with the service is limited to the amount you paid us for the service in the 12 months before the claim arose.
- Nothing in these terms excludes or limits liability that cannot be excluded or limited under New Zealand law.
14.Privacy
We handle personal information in line with the Privacy Act 2020, as described in our Privacy Policy, which forms part of this agreement. That policy explains what we collect through website contact forms, how long we keep it, and that some information is stored or processed by providers overseas.
15.General
- These terms are governed by New Zealand law, and the New Zealand courts have non-exclusive jurisdiction.
- If any part of these terms is found to be unenforceable, the rest continues to apply.
- You may not transfer your agreement to someone else without our written agreement. We may transfer ours as part of a sale or restructure of our business, on no less favourable terms.
- A delay in enforcing these terms isn't a waiver of our rights.
